THESE TERMS AND CONDITIONS GOVERN CENTURYLINK’S ACCESS TO AND USE OF CERTAIN CUSTOMER INFORMATION ASSOCIATED WITH CUSTOMER’S LINKED AWS ACCOUNTS AS DESIGNATED BELOW AND APPLY TO EACH CUSTOMER WHO IS SHIFTING AN EXISTING AWS ACCOUNT TO CENTURYLINK FOR CONSOLIDATED BILLING.
Customer acknowledges that the AWS Customer Agreement Customer has in place with AWS governs Customer’s access to and use of the Services and that Customer has the right to grant CenturyLink (the “Authorized Solution Provider”) access to those accounts as the subcontractor or agent in accordance with the AWS Customer Agreement and that access granted is consistent with either the Consolidated Billing or All Features mode selected. Customer is responsible for ensuring that (i) access to AWS accounts is granted to CenturyLink and (ii) root access credentials for All Features mode are provided to and maintained by CenturyLink during the term of your Agreement.
Customer acknowledges that fees, payment, pricing, billing and tax terms for CenturyLink-provided AWS services are governed by the agreement between Customer and CenturyLink. In addition, CenturyLink reserves the right to exercise all available remedies under the Agreement, including suspension for non-payment. Cloud Application Manager charges accrued will be charged and payable per the terms of the Agreement until the effective date of any termination.
Notwithstanding anything to the contrary, AWS may (i) directly communicate with Customer, and (ii) terminate Customer’s service per the terms of the Customer Agreement. If AWS terminates Customer’s account, CenturyLink will lose access to the account and will no longer be able to provide any Cloud Application Manager services, for which CenturyLink will have no further obligation and no liability.
Nothing within these terms shall prevent CenturyLink or AWS from exercising their rights under these Terms and Conditions.
